1. Terms and definitions
This public offer, hereinafter the Service agreement, is an offer to enter into a digital distribution services contract using the service Mineralnaya Music
on the website mnrln.com.
This is a contract of adhesion: the Distributor sets the terms, and the User accepts the Offer as a whole.
- User — a person registered with the Service and/or using its features to submit Content and receive services.
- Distributor — “Mineralnaya Music” Limited Liability Company, providing services under this Offer.
- Service / Website — mnrln.com and related interfaces, including the account area.
- Content — music, lyrics, performances, phonograms, artwork, graphics, photos, videos and other materials submitted by the User.
- Metadata — Content information: performers, authors, composers, rights holders, title, language, Explicit/18+, genre, label, lyrics and other data.
- DSP — digital distribution platforms: streaming services, social networks, UGC platforms and other partner platforms.
- Release — a publication unit, including a single, EP, album or other release format.
- Release record — the specific Release’s data and files recorded in the Service, including Release ID, title, artists, tracklist, Metadata, uploaded files, ISRC, UPC and other assigned identifiers.
- License agreement — the website agreement governing the User’s grant of Content rights for each Release.
- Payout Request — the User’s request through the Service to transfer eligible royalties to the payment details provided.
- “Processing” status — the Payout Request status set and recorded after the Distributor starts processing it. The payout period begins precisely on the date of this status change.
- Business day — a working day under Belarusian law and its official working calendar, unless expressly specified otherwise for an operation.
2. Subject and scope of services
The Distributor receives, registers, processes, stores, checks, moderates, prepares, delivers, publishes and supports Content on DSPs, produces reports and transfers remuneration; the User supplies Content and Metadata and complies with this Offer.
Depending on the plan and processing stage, Release services may include:
- receiving and registering the application and Release materials;
- uploading, processing, operational copies and file storage;
- checking audio, artwork, Metadata, age labels and required fields;
- manual and/or automated moderation, including Content rights information;
- issuing feedback, returning for correction and rechecking corrected materials;
- preparation and delivery to DSPs, publication support, reports and payouts.
Services are staged. Receipt, processing, storage and completed moderation are work performed regardless of immediate delivery approval, return for correction or suspension pending documents.
The Distributor acquires no exclusive Content rights or ownership. Rights remain with the User and/or respective rights holders.
3. Acceptance, registration and account
Acceptance means actions expressing full unconditional agreement, including registration, upload, payment, balance top-up, payout requests or other interface actions expressly seeking Distributor services.
Acceptance concludes the contract. Button clicks, forms, code/link confirmations and other Service actions may prove the User’s intent.
- The User must provide accurate account data and promptly update payment/contact details.
- Until compromise is reported, account actions are presumed to be the User’s own.
- Keep credentials secret and immediately report suspected unauthorised access.
- Official channels are the User’s email, Distributor’s email and account notifications where supported.
The Service may record date/time, User ID, account email, technical logs, IP, User-Agent, action ID, Offer version and related Release ID/UPC. These records, status history and internal logs may prove electronic intent and its content within applicable law.
4. Content rights and the Licence Agreement
Content rights granted to the Distributor are governed by the separate Licence Agreement and Digital Distribution Terms. This Offer primarily governs services, plans, settlements, reporting and payouts and does not itself expand that licence.
- Exclusive Content rights are not transferred to the Distributor and remain with the User and/or respective holders.
- Release record, final upload data and recorded acceptance identify the licensed object and form the electronic identification of the contractual relationship for that Release. No separate paper annex is needed unless required by law or expressly requested by the Distributor.
- The User warrants sufficient rights to works, lyrics, performances, phonograms, masters, beats, samples, images, videos, covers, remixes and other Release elements and must provide reasonable supporting documents on request.
- Specific Licence Agreement provisions govern scope, uses, territory, term and sublicensing; specific Offer provisions govern services, plans, balances, reports, taxes, deductions and payouts.
The Distributor does not become author, performer or original rights holder. Distribution, processing and DSP delivery are limited to rights granted by the User under the Licence Agreement.
5. Moderation, DSP requirements and refusal
The Distributor may pre-moderate Releases/Metadata, request evidence and check compliance with Service, DSP and legal requirements.
- A Release may be rejected, suspended or removed on reasonable grounds of third-party rights, legal or DSP-rule infringement.
- Technical Metadata edits may include transliteration, case, prohibited characters, field lengths and other DSP compliance corrections.
- Changes affecting identity — audio, artwork, title, artists, authors, ISRC or UPC — require a User request or mandatory DSP/legal requirements.
- False Metadata, concealed Explicit/18+, covers/remixes labelled originals or fictitious authors/holders justify correction, suspension or delivery refusal.
- Disputes, claims or DSP notices may lead to temporary access, monetisation or payout restrictions on disputed Content pending resolution.
Correctable issues, Metadata defects, missing documents or rights doubts may result in return for correction. This is not contract repudiation, order termination or failure to provide services.
While the order remains active, the User may replace materials, correct Metadata or provide rights documents. Processing resumes after correction without another payment for the same order unless the plan/interface stated otherwise in advance.
Initial moderation is completed when materials are actually checked and the result recorded in the Service, internal system, correspondence or User notification. Inability to proceed because of missing rights, documents or correct materials does not undo work already performed.
DSP decisions, including blocks, removals, restrictions, checks, rule changes and fraud procedures, are beyond the Distributor’s full control.
6. Financial terms, reports and payouts
The currency for public service prices, service fees and payout thresholds is the Belarusian ruble (BYN), unless expressly specified otherwise for an operation. The User receives 100% of funds actually received from DSPs for Content use, less legal withholdings, bank/payment-system fees and DSP report adjustments. Accrual requires both an official DSP/partner report reliably identifying the Release and actual receipt of corresponding funds.
Play counts in public counters, artist accounts, analytics, screenshots or other unofficial sources do not alone establish remuneration or a payout obligation. Without reports and/or funds, the Distributor need not estimate, advance or pay remuneration from its own funds.
For User-initiated takedown, transfer or cessation, sums credited before the request remain with the User if still eligible under this Offer. After the request, the Distributor need not await, request from DSPs/partners, seek, reconstruct or independently calculate subsequent or residual accruals for the removed Release using public statistics, estimated plays, views, downloads or other unofficial data. Absence of a later report or inability to reliably attribute a sum to that Release creates no Distributor debt to the User.
If, after the User’s request, official DSP/partner reports and matching funds are actually received and reliably attributable to the removed Release, the sum may be recorded by the Distributor in the User’s royalty balance in later reporting. Separate accruals are not required for residual or technically insignificant sums unless the DSP/partner identifies them separately and reliably for a Release. Prior DSP availability, public counters or assumed income creates no claim. Credited sums remain subject to the general threshold and other Offer terms. Requesting takedown, transfer or cessation acknowledges these financial consequences. This does not override payouts mandatorily required by law.
A rights-holder claim, DSP/partner notice, Content ID match or other justified infringement information permits suspension of all disputed accruals and payouts for the Release, track or Content portion pending review. These sums are not available or unconditional Distributor debt meanwhile.
For confirmed copyright, related or other third-party rights infringement, royalties for the infringing Content are not accrued or paid to the User. Plays, views, statistics, DSP/partner reports or receipt of funds alone creates no entitlement. The Distributor may decline credit and block, adjust or reverse unpaid provisional sums under official reports, rights-holder requirements and applicable law.
Infringement may be confirmed by DSP/partner decisions/notices, sufficiently documented rights-holder claims, User admissions, judicial/binding acts, document/technical review or sufficient verifiable evidence together. Non-accrual/non-payment is not a fine or appropriation: it reflects lack of confirmed entitlement and/or binding DSP, rights-holder or legal requirements.
Foreign-currency DSP accruals, User payments, bank/payment fees or other transactions may be converted to BYN at the bank/provider rate and/or official National Bank of Belarus rate on the transaction, credit, debit, reporting or payout date, depending on its technical/accounting processing.
Reports and accruals follow DSP data receipt and may be delayed up to 90 calendar days, or longer for DSP, bank, payment-system rules or fraud checks.
The User may request payout after meeting the threshold and other Service conditions. Creating or sending a Payout Request does not itself start its execution period.
Transfer of confirmed eligible remuneration takes up to 30 business days starting the next business day after the Distributor changes the Request to “Processing”, as shown in the account.
The period before “Processing” is excluded. Before processing, payment details, identity/status, tax information, documents, available accruals, Offer compliance and necessary fraud/compliance checks may be verified. The Service records the status-change date.
Payout threshold200 BYN
Transfer service fee10 BYN per release
Draft service fee10 BYN per release
Reporting periodsuntil 90 days, depending on the DSP
Royalty payout perioduntil 30 business days after the request enters “Processing”
Accounting currencyBYN
Before payout, documents may be requested to establish tax status, rate, treaty relief, business/self-employed status and other mandatory details. Where the Distributor, actual payer or another participant must calculate, withhold or remit tax/mandatory payments, these may be deducted from remuneration with the calculation shown in the Request, payment documents or payout comment. Without withholding-agent duties, the User handles their own taxes.
Transfers may be made directly or through a bank, payment provider, representative or other party acting for the Distributor, where lawful. A third-party bank account alone does not replace the contracting party, assign the obligation or change the royalty’s legal nature unless expressly notified otherwise. Tax treatment depends on the actual settlement arrangement, payer/recipient status and applicable law.
6.1. Balance, completed stages and refunds
The User may advance funds for Service fees. These are recorded in the internal balance and used only for Service payments.
The balance is not a bank deposit, electronic money, wallet or independent payment instrument. It earns no interest.
- The Service may grant bonuses through promotions, referral or other programmes.
- Bonuses are not User funds and cannot be withdrawn, exchanged for cash or transferred to third parties.
- Bonuses may be used only within Service features and the relevant promotion’s terms.
- Bonuses may be cancelled fully or proportionally to refunded funds upon refund, account closure or cessation of use.
Release payment covers DSP delivery and prior stages: receipt, order registration, upload/storage, processing, Metadata and rights checks, moderation, feedback and corrections.
Return for correction due to missing rights/documents, incorrect Metadata, prohibited Content or other User breaches does not end the order or independently justify a refund. Service continues while the order is active and materials, Metadata or documents can be corrected.
After correction, the same order continues without repayment unless stated otherwise in advance. Moving payment to another Release requires Distributor approval or a supported feature.
The User may cancel further performance and request the unused portion of actual funds paid. Refund calculation: payment less completed service stages, applicable fees and documented Distributor expenses.
Completed stages/expenses may include receipt/registration, processing/storage, automated/manual moderation, audio/artwork/Metadata/rights-document checks, feedback, rechecking corrections, bank/provider fees and other directly related costs.
If these stages, fees and documented expenses equal/exceed payment, the refund is 0 BYN. This is payment for completed work and reimbursement of order costs, not a penalty.
On request, the Distributor provides the refund decision and calculation, identifying stages, fees and expenses as required by law.
Send order termination/refund requests to: [email protected]. Include, preferably, account email, Release ID, payment date/amount, method and information identifying the payment.
- Refunds normally use the original payment method unless another technically possible method is agreed.
- Refunds take up to 14 calendar days after receipt of the request and necessary data, unless law, bank or payment-system rules require a shorter period.
- Amounts applied to completed stages, applicable fees and expenses are non-refundable unless law expressly provides otherwise.
- For a User breach correctable by replacing materials, the Distributor may offer continued service instead of cancellation/refund.
- Mandatory consumer rights under Belarusian law remain fully preserved.
7. Third-party claims and compensation
Claims/notices of possible rights infringement permit temporary publication suspension, access/monetisation restrictions and suspension of disputed accruals and/or payouts pending review, with requests for rights documents.
- The User warrants necessary rights to Content and all Release materials.
- On request, the User must provide licences, contracts, consents, authorship evidence and other supporting materials.
- No royalties are accrued or paid to the User for Content with confirmed infringement of copyright, related or other third-party rights.
- Unpaid provisional disputed accruals may be blocked, adjusted or reversed under DSP/partner reports, rights-holder requirements and applicable law.
- Statistics, play counts, preliminary analytics and receipt of DSP funds alone do not create royalty entitlement for Content confirmed to lack required rights.
- The User must reimburse documented direct property losses, fines and mandatory payments caused by breach of rights warranties.
- Disputed amounts may be withheld from future payouts on claims or DSP/payment-system/legal demands only as permitted by applicable law.
Send Content rights claims and notices to: [email protected].
8. Confidentiality
Parties must keep non-public Service information confidential, including reports, accruals, support correspondence, technical data, account settings and other unpublished information.
- Confidential information may be disclosed as necessary to perform the Offer, including to partners, DSPs, banks, payment systems and contractors.
- Disclosure is permitted when required by law, courts or competent authorities.
- This does not restrict appeals to authorities, courts, lawyers, auditors or advisers to protect the User’s rights.
9. Personal data and privacy
The Distributor processes necessary personal data for registration, contract formation/performance, services, payouts, support, DSP/payment-system requirements, fraud prevention and legal compliance, only as needed for those purposes.

10. Term, amendments and disputes
The version accepted for the relevant action applies. The Distributor may update the Offer by publishing a new version.
- Voluntary takedown/transfer/cessation consequences apply to new requests after acceptance of the relevant version and do not cancel sums credited before the request.
- The Service may retain the accepted version. New versions apply to a new action only after acceptance and do not alter prior acceptance unless mandatory law requires otherwise.
- Specific Licence Agreement terms prevail on Content licensing; specific Offer terms prevail on prices, reports, balances, taxes, deductions and payouts.
- Governing law: Republic of Belarus.
- Pre-action complaints: before court proceedings, either Party may send a written claim by email and/or post. Send claims to the Distributor at [email protected].
- Complaint review period: until 30 calendar days from receipt unless law specifies otherwise.
- Jurisdiction: disputes are heard under the procedural laws of the Republic of Belarus. Nothing limits mandatory consumer rights and safeguards if the User is an individual consumer.
- Invalidity of one provision does not affect the others.
- Force majeure: Parties are relieved of liability for partial/total non-performance due to force majeure. The affected Party must notify the other within a reasonable time, where possible within 10 calendar days.

FAQ
No. Only non-exclusive permission for delivery, publication, support, monetisation and reporting is granted. Ownership remains with the User or their rights holders.
Reports depend on DSPs and often arrive late. Allow up to 90 days, sometimes longer under platform rules.
Previously credited sums remain. The Distributor need not await, request or calculate residual royalties from public counters/estimated plays. Later official reports and funds reliably attributable to the removed Release may be credited during reporting. No report, unidentified amounts or no separate DSP accrual creates no debt. Credited sums follow general conditions, including the threshold.
Royalties require sufficient use/monetisation rights. Confirmed infringement means no accrual or payout. Unpaid provisional sums may be blocked, adjusted or reversed. Public counters and DSP reports alone create no payout entitlement for infringing Content.
Reasons may include rights, Metadata, Explicit/18+, audio/artwork quality, problematic Content, duplicates, DSP requirements or fraud checks.
Not automatically. Correction does not cancel the order: materials were received, stored and checked, and the User may correct them or supply documents to continue without another payment. On complete cancellation, refunds deduct completed stages, applicable fees and documented expenses.
You may request the unused portion of actual funds paid, less completed stages, applicable fees and documented costs. Bonuses cannot be refunded or exchanged for cash.
