Licence Agreement and Digital Distribution Terms
Service: Mineralnaya Music · Website: mnrln.com
Non-exclusive licence Territory: worldwide Acceptance through your account and release Rights remain with the rights holder

1. General provisions

This Licence Agreement and Digital Distribution Terms, hereinafter the Agreement, governs the User’s grant of rights to Content submitted through the Service for digital distribution, monetisation and support.
The Agreement applies together with the Public Offer, Personal Data Processing Policy, DSP rules and other binding Service documents. The Public Offer primarily governs services, prices, royalty accrual and payouts, fees, taxes and settlements; this Agreement specifically governs the scope, uses, territory, term and sublicensing of Content rights. Where wording overlaps, the specific provision governing the relevant matter applies.
The grant does not transfer ownership of exclusive rights or make the Distributor the owner of the User’s music, phonograms, lyrics, artwork or other materials.

2. Parties and identification through the Account

Licensee / Distributor —
Licensor / User — an individual, sole trader or legal entity using its own Service Account to submit Content.
  • The User is identified by User ID, username, email, authentication data, account activity history and other information stored by the Service.
  • Actions from an authenticated Account before the Service is notified of its compromise are presumed to be the User’s actions.
  • Ordinary acceptance during upload requires no repeated entry of full name, passport details or address, or separate signed PDF, unless needed by law, for payment, tax processing, rights verification or dispute resolution.
  • The Service may request further identification or documents objectively necessary to verify the rights holder, make payments or perform tax or compliance checks.

3. Electronic acceptance and consent records

The User accepts electronically. For each Release, acceptance occurs by selecting the relevant checkbox at the final upload step and then submitting the Release for moderation/distribution from an authenticated Account.
  • Acceptance covers the Agreement version shown at submission.
  • The Service may record the acceptance date/time, User ID, account email, IP address, browser technical data, Release ID, title, artist, UPC, Agreement version, unique acceptance ID and record checksum.
  • Resubmission after revision may be recorded as fresh acceptance of the then-current version.
  • A UPC assigned after acceptance supplements the identification of the same Release and does not alone require a renewed grant of rights.
A separate paper signature is not mandatory in the Service workflow. Internal logs, status history, the Agreement version and acceptance technical data may evidence the fact and content of electronic consent insofar as applicable law permits. Additional documents or a separate case-specific agreement may be requested.

4. Licensed subject matter and Release identification

The licence covers not the User’s entire future catalogue, but each specific Release actually submitted through the Service for moderation/distribution.
  • The licence covers musical works, lyrics, performances, phonograms, masters, artwork, images, videos, promotional excerpts, metadata and other materials supplied with the Release, within the User’s rights.
  • The Release record in the Service forms its electronic identification under this Agreement and comprises account data: Release ID, title, main artist, tracklist, uploaded files, metadata, ISRC, UPC and other assigned identifiers. No separately signed annex per Release is required unless expressly required by law or a separate agreement.
  • UPCs/ISRCs assigned after initial submission are technical identifiers of the already submitted Release.
  • Changes effectively creating a new distribution object may require resubmission and new acceptance.

5. Non-exclusive licence

The User grants the Distributor a non-exclusive licence to the relevant Release’s Content under this Agreement.
  • Exclusive rights remain with their respective holders.
  • The User may use the Content independently and license others unless this breaches other agreements.
  • This Agreement alone does not entitle the Distributor to claim authorship, performer status or original ownership of the Content.
  • Rights are granted only as needed for digital distribution, monetisation, technical support, reporting, Release promotion and protection of the parties’ lawful interests.

6. Permitted uses of Content

Within the User’s rights and for digital distribution, the Licensee may:
  • reproduce Content digitally and make necessary technical, backup and operational copies;
  • distribute Content and provide access through DSPs and other digital platforms;
  • make Content available to the public, including access from any place and at any time chosen by a platform user;
  • perform other digital communication and access activities technically required by DSPs;
  • encode, transcode, convert, normalise and change file formats without altering creative content;
  • use Release titles, performer names, artwork, Metadata and permitted Content excerpts for Release listings, cataloguing, search, announcements and promotion;
  • perform technical actions needed for identification, reporting, fraud checks, claim settlement and rights protection.
Technical processing does not independently authorise creative adaptations outside distribution purposes without a separate legal basis.

7. Licence territory and term

  • The licence territory is worldwide, unless permitted territorial restrictions are available and selected for the Release.
  • The licence begins upon successful submission of the Release for moderation/distribution after acceptance.
  • The main licence term lasts until distribution of the Release through the Service ends.
  • After a takedown request, the licence continues only as long and as far as needed to finish DSP removal, receive and process reports for prior uses, settle accounts, retain mandatory documents, handle claims and comply with law.

8. DSPs, partners and sublicensing

The User permits transfer of Content and necessary rights to DSPs, aggregators, technology, hosting and storage providers, contractors and other digital distribution participants.
  • The Licensee may grant such partners sublicences and other permissions only within the rights received under this Agreement and as needed to publish, distribute, monetise and support the Release.
  • No sublicense may grant more rights than the User granted the Licensee.
  • DSP terms may include technical storage, caching, UGC, short-form uses, Content ID and other platform features selected/allowed in the Service or included in standard delivery to that platform.

9. User warranties regarding rights

By submitting a Release, the User represents and warrants sufficient rights and authority to grant this licence.
  • The User owns the rights or is duly authorised by the author, performer, phonogram producer, label or other rights holder.
  • All required consents from co-authors, performers and other participants have been obtained.
  • Required licences exist for beats, backing tracks, samples, masters, covers, remixes, adaptations, translations and other third-party materials.
  • Use of artwork, photos, videos, trademarks and other visuals does not infringe third-party rights.
  • Licensing Mineralnaya Music does not breach the User’s exclusive agreement with another party.

10. Metadata, AI labelling, prohibited Content and moderation

  • The User must provide accurate artists, authors, rights holders, title, language, Explicit/18+, genre, label and other Metadata.
  • AI use must be accurately disclosed in the designated fields. AI labelling does not itself prohibit AI content uploads.
  • Content infringing copyright, related, personality, trademark or other third-party rights, law or binding DSP rules is prohibited.
  • The Service may use automated/manual moderation, return Releases for revision, request documents or suspend/refuse delivery where justified risks exist.

11. Royalties, reporting and settlements

  • The Public Offer and applicable law govern royalty balances, commissions, thresholds, currency, timing, transfer source/method, tax withholding and recipient documents.
Current payout rules are in the Public Offer. Its more specific settlement provision prevails over conflicting financial wording in this Agreement.

12. Release takedown and licence termination

  • The User may request takedown/transfer by a Service-supported method under the Public Offer.
  • The Licensee sends necessary cessation requests to partners, but removal times also depend on DSP capabilities and rules.

13. Third-party claims, Content ID and fraud prevention

  • The User must reasonably assist review and provide available rights documents.

14. Liability

  • The User is responsible for accurate information and sufficient Content rights.
  • The User must reimburse documented direct property losses, mandatory payments, DSP fines and reasonable expenses directly caused by its infringement or knowingly false warranties.
  • The Service is not liable for independent decisions of DSPs, banks, payment systems, authorities or other third parties beyond its reasonable control.
  • Individual consumers retain mandatory rights and safeguards that cannot be contractually restricted.

15. Personal data and electronic evidence

The Service may record and retain account operations to perform the Agreement, prove acceptance, maintain security, report and resolve disputes.
  • Records may include User ID, email, username, action date/time, IP, User-Agent, Release ID, UPC, Agreement version, unique Acceptance ID, SHA-256 record hash, submission history and other technical logs.
  • The internal acceptance log groups each User’s Releases in one record. This registry organisation does not combine different Releases into one licensed object.
  • Older Releases may be imported without reconstructing missing historical IPs, exact timestamps or Agreement versions.
  • Personal data are processed under the Personal Data Processing Policy and Belarusian law.
Personal Data Processing Policy: open document.

16. Amendments, governing law and disputes

  • The Service may publish new versions, which apply to a specific new User action only after acceptance through the interface.
  • New Releases use the version accepted on submission. Material changes may require renewed acceptance for resubmission, new Releases or other new actions.
  • Prior grants and actions are assessed under the version accepted and in force then, unless mandatory law requires otherwise.
  • This Agreement prevails on Content rights, uses, territory, term and sublicensing; the Public Offer prevails on services, plans, balances, reporting, taxes, deductions and payouts.
  • Governing law: the laws of the Republic of Belarus.
  • Unresolved disputes are settled in court under applicable procedural law.
  • Force majeure, widespread DSP, infrastructure, bank or hosting failures, sanctions and mandatory legislative changes are addressed under applicable law and the Public Offer.
